Terms and Conditions

These Terms and Conditions (“Terms”) govern your use of Buddy Password Manager (“Buddy,” “we,” “our,” or “us”), a product of Brand New Byte LLC, and any license you obtain for the software. By downloading, installing, or using Buddy, you agree to these Terms. If you do not agree, do not use the software.

1. License Grant

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable license to install and use Buddy on your devices. Your license type determines the scope of that grant:

• Free trial: a time-limited license provided free of charge for evaluation purposes only. The trial is granted per device and may not be circumvented by reinstalling the software or resetting your device.
• Perpetual license: a one-time purchase granting you the right to use Buddy on a generous number of your personal devices, calibrated to normal use over time. We monitor for abuse and are glad to raise your limit as needed. Licenses are distributed as voucher keys and are non-transferable.

You may not sublicense, sell, rent, lend, or otherwise transfer your license or license key to any third party.

2. Version Coverage

A perpetual license is valid for all releases within the major version family at the time of purchase, as well as all previous major versions. For example, a v2 license covers all 2.x minor and patch updates and all 1.x releases at no additional cost.

When a new major version is released (e.g., v2), your existing license continues to work for all releases in your licensed major version family indefinitely. Long-term support (LTS) downloads are available for all major versions so you are never forced to upgrade.

License upgrades to a newer major version are available to existing license holders at a reduced cost. Upgrade pricing is not guaranteed to be available indefinitely and may change at our discretion.

3. Pricing and Promotions

We reserve the right to change the price of Buddy’s perpetual license at any time, including through limited-time sales and promotional discounts.

All purchases are final at the price paid at the time of transaction. No price adjustments, credits, or refunds will be issued if the price changes after your purchase — including if the software goes on sale shortly after you paid full price.

4. Refund Policy

We offer a 7-day money-back guarantee. You don’t need to give us a reason, though we appreciate your feedback. To request a refund, contact us within 7 days of purchase using the email address on your license.

Outside that window, refunds are only issued in exceptional circumstances at our sole discretion (for example, a verifiable technical issue that prevents the software from functioning and that we are unable to resolve).

We encourage you to use the free trial to evaluate Buddy before purchasing. The trial is provided specifically for this purpose.

5. License Suspension and Revocation

We reserve the right to suspend your license key if we have reasonable evidence that it has been compromised, shared without authorization, or otherwise abused. Suspension is not a punishment — it is a security measure to protect the integrity of your license.

When a license key is suspended, the app may enter a read/export-only mode to ensure you retain access to your data. Please contact support to request a key reissuance. Upon review and verification of your identity as the original license holder, we will issue a replacement key.

Repeated or ongoing patterns of abuse will be evaluated on a case-by-case basis. In cases of clear malicious intent — such as deliberately leaking or distributing your license key — your license may be permanently revoked without reissuance or refund.

We will make reasonable efforts to distinguish between intentional abuse and inadvertent key compromise before taking permanent action.

6. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the software
• Circumvent or tamper with licensing, activation, or trial enforcement mechanisms
• Distribute, publish, or share your license key with others
• Use the software for any unlawful purpose

7. Disclaimer of Warranties

Buddy is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the software will be error-free, uninterrupted, or free of security vulnerabilities. You are responsible for maintaining backups of your vault data.

8. Limitation of Liability

To the fullest extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use Buddy, including but not limited to loss of data, loss of passwords or credentials, unauthorized access to your vault, or business interruption.

Our total liability to you for any claim arising out of or relating to these Terms or the software shall not exceed the amount you paid for your license, if any.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Minnesota.

10. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the effective date at the top of this document. For material changes, we will provide notice within the app or via email (for paid license holders). Your continued use of Buddy after such changes constitutes your acceptance of the updated Terms.
